1. Acceptance of Terms

By accessing or using VSLStudio Pro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Description of Service

VSLStudio Pro is a video sales letter (VSL) production platform that uses artificial intelligence to transform sales copy into video content. Our Service includes:

• AI-powered copy analysis and beat segmentation
• Automated voiceover generation
• Visual asset creation and routing
• Video rendering and export capabilities
• Project management and collaboration tools

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old to create an account. We reserve the right to refuse service, terminate accounts, or remove content at our discretion.

4. Subscription and Billing

4.1 Subscription Plans

VSLStudio Pro offers various subscription plans with different features and usage limits. Plan details, pricing, and limitations are described on our pricing page.

4.2 Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Usage-based charges (render minutes, API calls) are billed at the end of each billing cycle

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until then, but no refunds will be provided for unused time.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Create content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Generate content that infringes on intellectual property rights
• Create deceptive or fraudulent content intended to mislead consumers
• Produce content that promotes hate, violence, or discrimination
• Generate content involving minors in any inappropriate context
• Attempt to bypass usage limits or security measures
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems to access the Service without permission
• Interfere with or disrupt the Service or servers

6. Intellectual Property

6.1 Your Content

You retain ownership of all content you upload to VSLStudio Pro, including sales copy, scripts, and other materials ("Your Content"). By uploading content, you grant us a limited license to process, store, and display Your Content solely to provide the Service.

6.2 Generated Content

Subject to your compliance with these Terms and payment of applicable fees, you own the video content generated using our Service ("Generated Content"). You may use Generated Content for commercial purposes. However:

• We make no warranties regarding third-party IP claims on AI-generated elements
• You are responsible for ensuring your use complies with applicable laws
• Music, stock footage, and certain assets may be subject to separate licenses

6.3 Our Property

The Service, including its design, features, and underlying technology, is owned by VSLStudio Pro and protected by intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or branding.

7. API and Integration Terms

If you access our API or integrate with third-party services:

• API access is subject to rate limits and usage quotas
• You must not exceed documented rate limits or attempt to circumvent them
• API keys must be kept confidential and not shared
• We may modify or discontinue API access with reasonable notice
• Third-party integrations (ElevenLabs, AI providers, etc.) are subject to their own terms

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted, secure, or error-free operation
• Non-infringement of third-party rights

AI-generated content may contain errors, inconsistencies, or unexpected results. You are responsible for reviewing and validating all Generated Content before use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VSLSTUDIO SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute goods or services
• Any damages arising from third-party claims

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless VSLStudio Pro and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Violation of applicable laws
• Abusive or fraudulent activity
• Extended periods of inactivity

Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the award shall be final and binding.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class arbitrations.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and VSLStudio Pro
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our consent; we may assign freely
• Force Majeure: We are not liable for delays caused by circumstances beyond our control
